FBC's technology and life sciences practice ranges from representing emerging growth and early stage companies in their initial stages, including counseling on corporate structure and founders and shareholders agreements, to advising mature private and public companies with respect to a wide spectrum of business transactions, including joint venture agreements and other commercial arrangements, to domestic and international tax planning, mergers and acquisitions, and capital markets transactions. We provide expert counsel on a broad range of matters that are of central concern to technology companies, such as intellectual property protection, corporate partnering, licensing, OEM and distribution agreements, technology transfers, data acquisitions, and network services agreements, and employment-related issues, including executive compensation and employee benefits.
The firm has developed particular expertise in the representation of technology incubators and their portfolio companies. We have established high-tech incubators, handled the day-to-day corporate representation of their portfolio companies, and recently acted as lead counsel in the first public offering of an incubation company on the Tel Aviv Stock Exchange.
We also act as legal counsel to many life sciences companies in varying development stages, ranging from medical device and bio-technology start-ups, to international "big pharma" companies, and venture capital funds that focus on life science companies. We regularly draft and negotiate strategic transactions with research institutions, and advise on regulatory compliance matters.
