FBC's capital markets practice represents issuers, banks and underwriters in large and complex placements of equity and debt securities on the Israeli and international capital markets. The practice advises on a full range of capital raising activities, including public offerings (IPOs and secondary offerings) and private placements of debt and equity securities, convertible securities, and structured securities.
Our representation regularly includes preparation of prospectuses and other disclosure documents, conducting due diligence reviews, assisting with corporate and tax planning, negotiating between issuers and underwriters and counseling with respect to a full range of regulatory authorities, including the Israel Securities Authority, stock exchanges in Israel and abroad, and rating agencies. In addition to numerous representations of issuers and underwriters in placements on the Tel Aviv Stock Exchange, we regularly advise companies and underwriters in public offerings on NASDAQ and other leading overseas exchanges. We also advise public companies in regard to compliance with ongoing reporting and filing requirements under Israeli and foreign securities laws as well as in regard to corporate governance issues.
The scope of our representation often includes advising with respect to the advantages and disadvantages on listing in different markets, and the consequences and continuing obligations to shareholders after listing. We also advise clients on their regulatory, banking and insurance requirements and assist them to obtain necessary approvals from various Israeli regulatory authorities.
