Mr. Lehmann is a partner at FBC and his practice encompasses a broad range of corporate matters, including private equity and venture capital transactions, public offerings, mergers and acquisitions, as well as cross-border litigations and arbitrations. Mr. Lehmann has been involved in an array of public and private transactions, often with international aspects. His recent representations have included a group of major Israeli institutional investors in a $125 million Senior PIK Term Loan Agreement for Medinvest S.a.r.l., Goldman Sachs in its underwriting of $250 million of Notes issued by the Israel Electric Company, Monsanto Company in its investment in Evogene Ltd., Phibro Animal Health Corporation in its acquisition of two subsidiaries of Teva Pharmaceutical Company Ltd., Clal Insurance Enterprises Holdings Ltd. in its $120 million acquisition of Guard Insurance Group, Inc., and SigValue Technologies, Inc. in its acquisition by Amdocs Ltd. Mr. Lehmann also represents a variety of multinational companies, including Bacardi-Martini Ltd., LTX-Credence, and Gucci in activities in Israel, ranging from acquisitions and dispositions to complex commercial agreements, and has advised leading Israeli companies, including Better Place, Clal Insurance and Israir Airlines and Tourism, on cross-border matters. Mr. Lehmann acts for Israeli high technology companies in capital raising transactions and ongoing business matters, advises venture capital funds on structuring and formation issues, and counsels foreign investors with respect to their holdings in Israeli companies. Mr. Lehmann also works closely with FBC's litigation practice in commercial disputes, including litigation proceedings, arbitrations and settlement negotiations, involving Israeli and non-Israeli parties. Prior to joining FBC in 1999 Mr. Lehmann served as Special Counsel in the Tax Department of Fried, Frank, Harris, Shriver & Jacobson in New York City. Mr. Lehmann served as a law clerk to the Honorable Patricia M. Wald, US Court of Appeals for the District of Columbia Circuit from 1989 until 1990. |
