FBC represented SKY, a private equity fund, in a transaction for the sale of 100% the of shares of Marmanet Organization and Projects Management Ltd., for a consideration of NIS 97M (assuming a distribution of dividends to Marmanet’s shareholders of NIS 5M). Marmanet is a company that manages and operates outsourcing projects for the public and private sectors.
Marmanet is held by SKY and Amenet Management and Systems Ltd., a public company (50%-50%). As part of the transaction, at closing, SKY will, simultaneously, purchase Amenet’s shares in Marmanet and sell Marmanet’s entire equity to Telrad Networks Ltd., a public company.
The transaction included extensive and sensitive negotiations of the terms and conditions of the share purchase from Amenet and the sale to Telrad.
The consummation of the transaction is subject, among other, to the approval of the Israel Competition Authority.
